Our LLC formation services include the initial organization, related filings with the Secretary of State, Department of Corporations, Internal Revenue Service, Franchise Tax Board, Employment Development Department and other organizational requirements. Our LLC operating agreements can be simple or complex as necessary to take into account buy-sell provisions, management authority, tax allocations and planning for dissolution, sale and transfers. We also advise clients in the formation of single member bankruptcy remote entities as required by lenders.
When an LLC is no longer the proper form of entity for our clients, we assist in converting to a limited partnership or a corporation, as appropriate. We also assist with dissolution or sale of the LLC when the time is right. We work with our LLC clients to make sure all of their records are in order to maximize their value on a merger or acquisition. In addition, SLG's business attorneys assist with contract negotiations, hiring and firing employees, resolutions and consents, and other actions necessary to protect the company and maintain the LLC's liability shield.
