Mark Manalo is an attorney at Structure Law Group, LLP, where he focuses primarily on business transactions, including mergers and acquisitions, entity formation, commercial contracts, and corporate governance. He also supports attorneys across the firm on a wide range of matters, including litigation, intellectual property, and regulatory compliance. Mark approaches legal matters with flexibility, creativity, and a focus on delivering practical, client-centered solutions. Mark earned his J.D./M.B.A. from Santa Clara University. He received his J.D. with a High Tech Law Certificate, a Corporate Law Specialization with Honors, and was an Emery Merit Scholarship Recipient. He earned his M.B.A. cum laude, with a Food Entrepreneurship Concentration. With a dual background in law and business, Mark applies an interdisciplinary perspective, bringing commercial awareness, strategic thinking, and disciplined work management to support long-term business goals. He also completed a study abroad program at Singapore Management University, where he focused on international business and intellectual property law.

During law school, Mark worked with startups and early-stage companies through the Entrepreneurs’ Law Clinic, advising clients on entity formation, corporate governance, commercial contract drafting, and data privacy compliance. He helped revise Terms of Service, Privacy Policies, and other foundational documents while providing guidance on regulatory issues such as the GDPR and CCPA. His clinic work emphasized practical solutions to support sustainable growth for emerging businesses. Mark also served as a research assistant to Professor Anna Han, contributing to updates of a leading casebook on corporations and other business associations, with a focus on corporate governance, startup law, and Chinese legal systems.

Before joining Structure Law Group, Mark was a law clerk at Lonich Patton Ehrlich Policastri, a preeminent Bay Area family law. There, he supported complex litigation in family, estate planning, and probate matters. He also interned at Kim, Choi & Lim in Seoul, South Korea, working on cross-border M&A, restructuring, and intellectual property matters. Mark’s background also includes financial consulting roles with Equitable Holdings and RPS Financial Group, where he held FINRA Series 7 and 66 licenses.

Outside of work, Mark enjoys golfing and skiing, both for the challenge and the opportunity to unplug outdoors. He’s also a passionate sports fan and enjoys going to live music events in his free time.
